Item type:Publication, Ownership governance practices and their influence on family businesses financial performance(EconJournals, 2020-03-01)Ownership is usually a system assumed implicit in the dynamics of management of enterprises, but it actually deserves more attention than a periodic control in the yearly general shareholder´s assembly. Empowerment of owners is required given the magnitude of decisions they make in terms of capital and business purpose, and not just delegate it to the Board or the CEO. Despite the relevance of the topic, there is a gap in the literature of corporate governance in family business from the ownership dimension. This longitudinal study uses a quantitative approach with an explanatory scope that pretends to answer the question: Do shareholders corporate governance practices and family control influence financial performance on businesses? 104 public companies were analyzed and 36.5% of them were identified as family businesses, using data from National Registry of Values and Issuers, which also responded the country Code 'survey of Colombia in the period 2008 to 2014. Data was processed with student's t test and Random Effects analysis that is a panel data technique. Results shown that family and non-family businesses have significant differences in ownership governance practices, but no significant relationship were identified between corporate governance practices of shareholders or family control with financial performance. Item type:Publication, Some preliminary considerations for the legal-economic analysis of corporate social responsibility(Universidad de Los Hemisferios, 2021-09-15)This review article presents some preliminary considerations and describes the evolution of corporate social responsibility, which is necessary for an informed study of this “tool”. In that sense, the authors resort to a preliminary exploration of the conceptual framework of the legal-economic approach presenting social responsibility and the relationship that subsists with “property rights”, the relevance of “transaction costs”, among other aspects. They also explore the interrelation between social responsibility and its forms of legal exercise and its characterization in areas that involve linking it with workers, unions, and consumers. The aim is to highlight its importance and build a contribution where social responsibility will be studied from an analytical and empirical perspective. Thus, it is sought to conclude that the company considers implementing and complying with good corporate governance standards since they expand the shared vision of business management, effectively allocating resources to obtain the most significant benefits of establishing a corporate social responsibility regime. - Some of the metrics are blocked by yourconsent settings

Item type:Publication, Crises conducting stakeholder salience: shifts in the evolution of private universities’ governance in Latin America(Emerald, 2021-01-01)This study aims to build on embedded approaches to stakeholder management and examines how organizational decision-makers consider social responsibility toward proximal stakeholders in crises that encompass an entire system of stakeholder relationships. Design/methodology/approach: Within a criterion-based sample of eight Latin American private universities, this paper develops in-depth exploratory case studies to examine the prioritization of stakeholders in higher education institutions’ decision-making during the outbreak of the COVID-19 crisis. Findings: Contrary to the notion that during crises organizations prioritize stakeholders that provide resources that are critical to survival, this study finds that in contextual crises stakeholder management is informed by social responsibility. In addition, the findings suggest that crises may be tipping points for changes toward mission-driven approaches to governance. Practical implications: Acknowledging the roles of social responsibility and proximity in stakeholder management during contextual crises allows for more informed governance of organizations that face disruptions in their system of stakeholder relations. Originality/value: This study contributes unique insights into the decision-maker’s prioritization of stakeholders during the COVID-19 crisis. The uncertainty associated with the emerging “new normal” allowed for an extreme test of socially embedded versus resource-oriented approaches to stakeholder management. - Some of the metrics are blocked by yourconsent settings
Item type:Publication, A DEA and random forest regression approach to studying bank efficiency and corporate governance(Palgrave Macmillan, 2021-05-10)We employ Data Envelopment Analysis to estimate the new technical, new cost, and new profit efficiency of Indian banks over the period 2008–2018. Then, we use Random Forest Regression to examine the impact of corporate governance (Board Size, Board Independence, Duality, Gender Diversity, and Board Meetings), bank characteristics (Return on Assets, Size, and Equity to Total Assets), and other characteristics (Ownership and Years) on bank efficiency. Among others, we found that board characteristics play a significant role particularly in new profit efficiency; therefore, policymakers and regulators should consider Board Size, Board Independence, Board Meetings, and Duality while framing guidelines for enhancing bank new profit efficiency. We also found that Board Independence plays a vital role in bank new cost efficiency, while Gender Diversity contributes to both new technical and new cost efficiency. This study makes methodological contributions by employing Machine Learning based Random Forest Regression in tandem with Data Envelopment Analysis under a two-phase model to examine corporate governance and bank efficiency, which is a pioneering attempt. - Some of the metrics are blocked by yourconsent settings

Item type:Publication, A decolonial and depatriarchal approach to women’s imprisonment: Co-governance, legal pluralism and gender at Santa Mónica Prison, Perú(Palgrave Macmillan, 2022-01-01)Research about prisons in the Global South has started to analyse the power dynamics between prison staff and prisoners, but it has focused mainly on men's prisons. Following decolonial and feminist, the chapter is based on the empirical data produced during an ethnography in Santa Monica, a women's prison in Lima, Peru. I argue that Santa Monica functions through a co-governance with prisoner-delegates who have the role of intermediaries or interface brokers. Moreover, I propose that prison is a site of interlegality where national law and customary law superimpose and interpenetrate in the subjects' actions and minds. Consequently, social relationships between authorities, prison staff and prisoners are defined by a hybrid legal system. I conclude with the importance of recognising different types of political and social organisations, not only as the result of errors or of failed development processes in the Global South, but also as an alternative configuration that may lead us to question how we conceptualise prison and imprisonment. In the same line, I acknowledge women prisoners are not only moulded by patriarchal structures, but also recognise the ambivalences and the possibilites of organising and engaging in semi-autonomous actions while imprisoned. - Some of the metrics are blocked by yourconsent settings
Item type:Publication, The strengthening of corporate governance based on applied fuzzy logic(John Wiley and Sons Ltd, 2022-09-01)Despite advances in research on corporate governance, there are still knowledge gaps. The article aims to broaden the debate on strengthening corporate governance and propose a tool to facilitate decision‐making. The research is novel because of the engagement of 117 master's students from a business school, contributing to competency‐based learning on Good Corporate Governance (GCG). This is applied research with the explanatory objective and quantitative approach through modeling and simulation. The OWA Operator assesses GCG principles' adequacy and reveals a ranking of 28 enterprises listed on the Lima Stock Exchange in corporate governance, increasing transparency and reducing risks. The results indicate that six enterprises would be solid in the GCG, and the corporate governance should consider strategic capability, fair dealing, transparency, and good social responsibility practices. The main contributions are reducing the identified knowledge gaps and proposing actions to strengthen governance. The authors suggest promising lines of research.3
